Citrix Application Performance Management
Riverbed (News - Alert) Technology announced that it has completed the acquisition of OPNET Technologies (News
- Alert), Inc.
This deal progressed after Riverbed entered into a definitive agreement to acquire OPNET for $43 per share in cash and stock. This transaction involved an equity value of $1,000 million and an enterprise value of $921 million.
According to the sources, the Riverbed Cascade business unit and OPNET will be merged to open a new Riverbed Performance Management business unit that will be led by GM Paul Brady.
Riverbed has announced its plans to combine market-leading APM (News - Alert) with leading-edge network performance management (NPM), to offer customers performance management solutions that diagnose both application and infrastructure issues.
The performance management solutions is an ideal solution for the application and infrastructure team to solve problems related to server, application, or network-based; in a virtual, physical or cloud infrastructure; or, using mobile or fixed clients.
"Customer satisfaction, employee productivity, business agility, and the bottom line all hinge on business-critical applications working as expected," said Jerry Kennelly, chairman and CEO at Riverbed.
"The application and the underlying infrastructure on which it runs are tightly coupled, but previously were managed in fragmented technology silos. Through the OPNET acquisition, Riverbed is the only company that provides customers with the solutions needed to manage and optimize all aspects of both application and network performance in a single portfolio of products, ensuring high performance, very fast problem resolution, and an enhanced end-user experience."
Under the terms of the agreement, Riverbed is also taking over all of the outstanding shares of OPNET common stock pursuant to an exchange offer, followed by a second step merger.
By giving enterprises the platform they need to understand, optimize and consolidate their IT, Riverbed claims to help enterprises build a fast, fluid and dynamic IT architecture that aligns with the business needs of the organization.
